Job Description
The Corporate Paralegal will support the firm's corporate department by maintaining the entity management database and docket system, including uploading documents, tracking filing deadlines, and managing minute books.
Key responsibilities involve preparing annual reports and consents, coordinating the formation and operation of entities, and handling stock certificates, ledgers, and capitalization tables. The paralegal will also manage applications for federal employer identification numbers, assist with UCC filings and analysis, prepare closing books, and interact with corporate service providers for statutory services. A college degree and paralegal certificate are required, along with 2-4 years of experience in a similar role, ideally within a law firm.
Candidates should demonstrate independence, problem-solving skills, and excellent organizational abilities. Proficiency in internet searching, Outlook, Word, Excel, and PowerPoint is necessary. The role typically involves office work with opportunities for overtime, limited physical effort, and minimal exposure to physical risk. The position may include additional duties as assigned and requires the ability to adapt to changes in job responsibilities.
The expected salary range for this position is between $75,000 and $85,000. The actual base salary offered will depend upon a variety of factors, including without limitation, the qualifications of the individual applicant for the position, years of relevant experience, level of education attained, certifications or other professional licenses held, and if applicable, the location in which the applicant lives and/or from which they will be performing the job.
